Zur Vorbereitung der Prüfung und Beschlussfassung durch den Aufsichtsrat hat sich zunächst der Prüfungs- ausschuss eingehend mit den vorgenannten Unterlagen befasst.
In seiner Sitzung am 26. Februar 2013 ließ sich der Prüfungsausschuss den Abhängigkeitsbericht eingehend von den Mitgliedern des Vorstands erläutern.
Ferner wurden Fragen der Ausschussmitglieder beantwortet.

Die abschließende Prüfung durch den Aufsichtsrat erfolgte in der Aufsichtsratssitzung am 27. Februar 2013 unter Berücksichtigung des Beschlusses und der Empfehlung des Prüfungsausschusses sowie des Prüfungs- berichts des Abschlussprüfers.

Hierdurch und auf der Grundlage des vom Prüfungsausschuss erstatteten Berichts konnte sich der Aufsichtsrat von der Ordnungsmäßigkeit der Prüfung des Abhängigkeitsberichts und des Prüfungsberichts überzeugen.
Er gelangte insbesondere zu der Überzeugung, dass der Prüfungsbericht – wie auch die vom Abschlussprüfer durchgeführte Prüfung selbst – den gesetzlichen Anforderungen entspricht.
