( 2 ) Nach Ziffer 5.4.6 Satz 5 DCGK soll eine erfolgsorientierte Vergütungskomponente für die Mitglieder des Aufsichtsrats auf eine nachhaltige Unternehmensentwicklung ausgerichtet sein.
Die Mitglieder des Aufsichtsrats erhalten neben einem Auslagenersatz und einer festen Vergütung auch eine variable auf den Unternehmenserfolg bezogene jährliche Vergütung.
Dies entspricht nach herrschender Literaturmeinung nicht den Erfordernissen von Nachhaltigkeit und bedeutet somit eine Abweichung von der Empfehlung der Ziffer 5.4.6 Satz 5 DCGK.

In addition to reimbursement of expenses and a fixed remuneration, the members of the Supervisory Board also receive a variable annual remuneration based on the success of the company.
According to the prevailing opinion in literature, this does not correspond to the requirements on sustainability and thus represents a deviation from the recommendation included in Article 5.4.6, Sentence 5 of the German Corporate Governance Code.
