Der Vorstand ist demgegenüber ermächtigt, in bestimmten ( in § 5 Ziffer 8 der Satzung der BASF SE genannten ) eng begrenzten Ausnahmefällen das gesetzliche Bezugsrecht der Aktionäre auszuschließen.
Dies ist insbesondere dann der Fall, wenn bei der Kapitalerhöhung gegen Geldeinlagen der Ausgabepreis der neuen Aktien den Börsenpreis der BASF- Aktie nicht wesentlich unterschreitet und gemessen am bisherigen Aktienbestand nicht mehr als 10 % neue Aktien ausgegeben werden.
Im Fall eines Kontrollwechsels erhalten die Vorstandsmitglieder unter bestimmten zusätzlichen Voraussetzungen eine Entschädigung, die im Einzelnen im Vergütungsbericht beschrieben ist.
