Zur Vermeidung der wertmäßigen Verwässerung der bestehenden Aktionäre wird darüber hinaus ein Ausgabebetrag ( Wandlungspreis ) angestrebt, bei dem der Wert des hypothetischen Bezugsrechtes auf die auszugebenden Wandelschuldverschreibungen keine wirtschaftliche Relevanz hat und daher für die Aktionäre irrelevant ist.
Der Vorstand der Gesellschaft erwartet, dass der Vorteil der Gesellschaft aus einer Begebung von Wandelschuldverschreibungen unter Bezugsrechtsausschluss allen Aktionären zugute kommt und dieser Vorteil den verhältnismäßigen Beteiligungsverlust der vom Bezugsrecht ausgeschlossenen Aktionäre klar überwiegt.
Zusammenfassend ist daher bei Abwägung aller angeführten Umstände festzustellen, dass der Bezugsrechtsausschluss in den beschriebenen Grenzen erforderlich, geeignet, angemessen und im überwiegenden Interesse der Gesellschaft sachlich gerechtfertigt und geboten ist.
