Aufsichtsrat
Der Aufsichtsrat besteht aus zwanzig Mitgliedern , von denen zehn von der Hauptversammlung nach den Bestimmungen des Aktiengesetzes und zehn von den Arbeitnehmern nach den Bestimmungen des Mitbestimmungsgesetzes vom 4. Mai 1976 ( „ MitbestG “ ) gewählt werden .
Im Jahr 2012 trat der Aufsichtsrat viermal zusammen.

Die Heidelberger Druckmaschinen AG unterliegt mit ihren rund 14.000 Mitarbeitern dem Mitbestimmungsgesetz ( MitbestG ) , welches in § § 6 und 7 die Bildung eines paritätisch besetzten Aufsichtsrates vorschreibt .
Nach § 7 Abs. 1 MitbestG setzt sich dieser bei Gesellschaften mit nicht mehr als 10.000 Mitarbeitern aus jeweils sechs Vertretern der Arbeitnehmer und sechs Vertretern der Anteilseigner zusammen.

With its 14,000 employees, Heidelberger Druckmaschinen AG is subject to the Codetermination Act which in Section 6 and 7 requires the creation of a supervisory board made up of equal number of staff and other representatives.
Pursuant to Section 7 paragraph 1 of the Codetermination Act, in companies with a workforce of not more than 10,000 employees, this supervisory board must consist of six staff representatives and six representatives of the shareholders.

Amendments to the Articles of Incorporation are made pursuant to § 179 and § 133 AktG and § 18 of the Articles of Incorporation.
