Die Organgesellschaft verpflichtet sich hiermit, ihren gesamten Gewinn im Sinne der entsprechend anzuwendenden Vorschriften des § 301 AktG in seiner jeweils geltenden Fassung an die Organträgerin abzuführen.
Der abzuführende Gewinn darf den sich aus § 301 AktG in seiner jeweils geltenden Fassung ergebenden Betrag nicht überschreiten.

The Subsidiary Company shall hereby obligate itself to transfer to the Dominant Enterprise its entire earnings in the meaning of the correspondingly applicable regulations of Section 301 of the German Stock Corporation Act (AktG) in its respective valid version.

The Subsidiary Company can demand during the course of the year discount payments for the annual net loss that prospectively needs to be offset, to the extent that this is legally permissible, and the Subsidiary Company requires such discount payments with regard to its liquidity on the basis of reasonable commercial judgment.

Der Vertrag wird mit seiner Eintragung in das Handelsregister des Sitzes der Organgesellschaft wirksam und gilt erstmals für das Geschäftsjahr der Organgesellschaft, das am 1. Januar 2013 beginnt und am 31. Dezember 2013 endet.

This Agreement shall become effective when it is entered in the commercial register at the Subsidiary Company's domicile, and shall be valid for the first time for the fiscal year that commences on January 1, 2013 and ends on December 31, 2013.
