www.deutz.deDie Auskunftspflicht erstreckt sich auch auf die rechtlichen und geschäftlichen Beziehungen der Gesellschaft zu einem verbundenen Unternehmen.
Werden in der Hauptversammlung eines Mutterunternehmens (§ 244 UGB) der Konzernabschluss und der Konzernlagebericht vorgelegt, so erstreckt sich die Auskunftspflicht auch auf die Lage des Konzerns sowie der in den Konzernabschluss einbezogenen Unternehmen.
(2) Die Auskunft hat den Grundsätzen einer gewissenhaften und getreuen Rechenschaft zu entsprechen.

If the consolidated financial statements and the group management report of a parent company (§ 244 of the Austrian Commercial Code) are presented at the annual general meeting, the requirement to provide information also extends to the position of the group and the companies included in the consolidated financial statements.
(2) The provision of information must reflect the principles of conscientious and true accountability.
www.zumtobelgroup.comDer Aufsichtsrat hat diese Unterlagen innerhalb von zwei Monaten nach Vorlage zu prüfen, sich gegenüber dem Vorstand darüber zu erklären und einen Bericht an die Hauptversammlung zu erstatten.
(2) Der Abs. 1 gilt sinngemäß auch für die Vorlage und Prüfung des Konzernabschlusses und Konzernlageberichtes.
(3) Billigt der Aufsichtsrat den Jahresabschluss, so ist dieser festgestellt, wenn sich nicht Vorstand und Aufsichtsrat für eine Feststellung durch die Hauptversammlung entscheiden.

(3) If the Supervisory Board approves the annual financial statements, such statements shall be thus adopted unless the Management Board and Supervisory Board determine that the Shareholders’ Meeting shall decide on their adoption.
