3. Empfehlung und Begründung
Der Verwaltungsrat hat den Aktionären bereits empfohlen, das ursprüngliche Umtauschangebot mit dem Umtauschverhältnis von 8.1 SPS Aktien für eine Jelmoli Aktie anzunehmen, weil er es als im besten Interesse der Aktionäre liegend erachtet hat.
Auch die vom Verwaltungsrat beauftragte Bank Sarasin & Cie AG ist in ihrer Fairness Opinion zum Schluss gekommen, dass das von SPS angebotene Umtauschverhältnis von 8.1 SPS Aktie je Namenaktie von Jelmoli angemessen ist (vgl. zur Fairness Opinion Ziffer 9 des Berichts vom 14. Juli 2009).

The board of directors has already recommended to the shareholders to accept the initial exchange offer with the exchange ratio of 8.1 SPS shares per Jelmoli share, because it deemed the offer being in the best interest of the shareholders.

Der Verwaltungsrat hat das verbesserte Angebot geprüft und empfiehlt den Aktionären von Jelmoli auf der Basis der nachfolgenden Erwägungen ohne Gegenstimme, aber mit einer Stimmenthaltung (siehe dazu nachstehend Ziffer 3), das Umtauschangebot von SPS anzunehmen und ihre Jelmoli Aktien anzudienen.

Frank Marthaler stiess 1999 zur Post und übernahm den Aufbau des konzernweiten Key-Account-Managements.
