( 2 ) Werden wir von einem Dritten in einem Fall gem. vorstehenden Absatz in Anspruch genommen, so ist der Lieferant verpflichtet, uns auf erstes schriftliches Anfordern von diesen Ansprüchen freizustellen ; wir sind nicht berechtigt, mit dem Dritten – ohne Zustimmung des Lieferanten – Vereinbarungen in Bezug auf einen derartigen Sachverhalt zu treffen, insbesondere einen Vergleich abzuschließen.
( 3 ) Die Freistellungsverpflichtung des Lieferanten bezieht sich auf alle Aufwendungen, die uns aus oder im Zusammenhang mit der Inanspruchnahme durch einen Dritten notwendigerweise erwachsen.
§ 8 Gerichtsstand – Erfüllungsort – Gefahrübergang ( 1 ) Sofern der Lieferant Kaufmann ist, ist unser Geschäftssitz Gerichtsstand; wir sind jedoch berechtigt, den Lieferant auch am Gerichtsstand seines Sitzes zu verklagen.
www.ilfa.de( 2 ) If a third party makes a claim against us in a case according to the preceding paragraph, the supplier is obligated to indemnify us against such claims upon first request ; we are not entitled to make agreements with the third party regarding such circumstances without consent from the supplier, especially to conclude a settlement.
( 3 ) The supplier ’ s indemnity obligation applies to all expenses necessarily accrued by us out of or in connection with the recourse claimed by a third party.
§ 8 Area of jurisdiction - Place of fulfillment - Transfer of risk ( 1 ) Insofar as the supplier is a merchant, area of jurisdiction shall be our place of business; we shall however be entitled to bring proceedings against the supplier before the court of his place of business.
